1. Acceptance of Terms

Welcome to ASCEND Content Manager ("ASCEND," "we," "us," or "our"), a product of JMCB Technology Group. By accessing or using our platform at https://ascend.jmcbtech.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you (the "User" or "you") and JMCB Technology Group. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Description of Service

ASCEND is a software-as-a-service (SaaS) social media content management platform that enables users to:

• Connect and manage social media accounts across TikTok, Instagram, Facebook, LinkedIn, X (formerly Twitter), and Threads.
• Generate, adapt, and optimize content using artificial intelligence (AI).
• Schedule and publish posts to connected social media platforms.
• Upload, store, and manage photos and media assets.
• Analyze content performance and receive AI-driven recommendations.
• Record and analyze voice input for content creation.

3. Account Registration and Eligibility

To use ASCEND, you must create an account and provide accurate, complete information. You must be at least 18 years old or the legal age of majority in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at support@jmcbtech.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss resulting from unauthorized use of your account.

4. Social Media Account Connections

ASCEND allows you to connect third-party social media accounts (TikTok, Instagram, Facebook, LinkedIn, X/Twitter, and Threads) through each platform's official OAuth or API authorization process. By connecting your accounts, you:

• Authorize ASCEND to access, read, and publish content on your behalf in accordance with the permissions you grant.
• Acknowledge that your use of connected platforms is subject to those platforms' own terms of service and policies.
• Understand that platform API changes, rate limits, or policy updates may temporarily or permanently affect Service functionality.
• Accept that ASCEND is not responsible for actions taken by third-party platforms on your account, including suspension or content removal.

You may disconnect any social media account at any time through your ASCEND account settings. Disconnecting an account will revoke ASCEND's access but will not delete content already published to that platform.

5. AI-Generated Content

ASCEND uses artificial intelligence to generate, adapt, and optimize content suggestions. By using these features, you acknowledge and agree that:

• AI-generated content is provided as suggestions and should be reviewed before publishing.
• You are solely responsible for all content published through your connected accounts, whether created manually or with AI assistance.
• AI outputs may not always be accurate, appropriate, or suitable for your audience. You must review, edit, and approve content before it is posted.
• JMCB Technology Group makes no warranties regarding the accuracy, originality, or legal compliance of AI-generated content.
• You retain ownership of content you create or modify using AI features, subject to the licenses granted herein.

6. User Content and Intellectual Property

You retain all ownership rights to the content you upload, create, or publish through ASCEND ("User Content"). By using the Service, you grant JMCB Technology Group a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to all User Content and that it does not infringe on any third-party intellectual property, privacy, or other rights. You are solely responsible for ensuring your content complies with all applicable laws and platform guidelines.

All rights, title, and interest in ASCEND, including its software, design, branding, AI models, and documentation, remain the exclusive property of JMCB Technology Group.

7. Payments and Subscriptions

ASCEND offers subscription plans with varying features and pricing. Payment processing is handled securely through Stripe, our third-party payment processor. By subscribing, you agree to:

• Provide accurate and complete billing information.
• Authorize recurring charges at the applicable subscription rate until you cancel.
• Accept that subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
• Acknowledge that Stripe's terms of service and privacy policy govern payment processing.

Free Trial. We may offer a free trial period. At the end of the trial, your selected payment method will be charged unless you cancel before the trial expires.

Refunds. Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to Service errors, please contact us at billing@jmcbtech.com and we will review your request on a case-by-case basis.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until the end of that period.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party terms of service.
• Publish or distribute content that is defamatory, obscene, harassing, threatening, or otherwise objectionable.
• Infringe on the intellectual property or privacy rights of any person or entity.
• Distribute spam, unsolicited messages, or deceptive content through connected platforms.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Use automated tools (bots, scrapers) to access the Service outside of its intended functionality.
• Create accounts for the purpose of abusing free trials or promotions.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Service. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect their use of the Service.

ASCEND depends on third-party APIs and platforms. Changes to these services may affect ASCEND's features and functionality. We are not liable for interruptions caused by third-party service changes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JMCB TECHNOLOGY GROUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO JMCB TECHNOLOGY GROUP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT GENERATED BY AI WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.

12. Indemnification

You agree to indemnify, defend, and hold harmless JMCB Technology Group, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Termination

Either party may terminate this agreement at any time. You may terminate by canceling your account through the Service settings or by contacting us. We may suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a period of 30 days following termination, after which it may be permanently deleted.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Georgia.
